These Terms of Service ("Terms") govern access to and use of the Nodi application and related services (the "Service") provided by [NODI LEGAL ENTITY NAME] ("Nodi", "we", "us"). By accessing or using the Service, the dental practice and its authorized users ("you") agree to these Terms.
Nodi provides analytics, recall/reactivation, and patient-messaging tools that operate on a practice's practice-management data (e.g. Open Dental) and, where connected, financial data from QuickBooks Online.
You are responsible for maintaining the confidentiality of account credentials, enabling appropriate security controls (including multi-factor authentication), and for all activity under your accounts. You must promptly notify us of any unauthorized use.
As between you and Nodi, the practice owns its data, including patient health information. Nodi processes patient health information solely on the practice's behalf and under its instructions, as an Information Manager under Alberta's Health Information Act, subject to a separate written agreement. Our handling of information is described in the Privacy Policy.
You agree not to: use the Service unlawfully or to send unlawful, harassing, or unsolicited messages; attempt to access data of practices other than your own; probe, scan, or breach security; interfere with or disrupt the Service; or reverse engineer the Service except to the extent permitted by law. You are responsible for obtaining any patient consents required for the outreach you send through the Service.
The Service integrates with third-party services (including Open Dental, Intuit/QuickBooks Online, Twilio, and email providers). Your use of those services is governed by their respective terms, and Nodi is not responsible for third-party services. You authorize Nodi to access connected services on your behalf to provide the Service.

We work to keep the Service available but do not guarantee uninterrupted operation. We may modify or discontinue features, and may update these Terms; continued use after changes constitutes acceptance.
The Service is provided "as is" and "as available". To the fullest extent permitted by law, Nodi disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Nodi does not provide clinical, legal, financial, or tax advice; outputs are informational and support — not replace — professional judgment.
To the fullest extent permitted by law, Nodi will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from or related to the Service. Nodi's aggregate liability is limited as set out in your subscription agreement or, absent one, to the amounts paid for the Service in the 12 months preceding the claim. [CONFIRM WITH COUNSEL.]
You agree to indemnify Nodi against claims arising from your unlawful use of the Service or breach of these Terms, including outreach sent without required patient consent.
Either party may terminate as provided in the subscription agreement. On termination, your access ends and your data is returned or securely deleted as described in the Privacy Policy and your agreement.
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable there, without regard to conflict-of-laws rules.
